Terms of Service

1. Eligibility

You must be at least 16 years of age to use the App. By using the App, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. User Accounts

To access most features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, to be fraudulent, abusive, or otherwise harmful.

3. Acceptable Use

You agree not to use the App to:

• Violate any applicable law or regulation
• Upload or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with a person or entity
• Interfere with or disrupt the integrity or performance of the App or its infrastructure
• Attempt to gain unauthorized access to any portion of the App or its related systems
• Use automated means (bots, scrapers, crawlers) to access or extract data from the App
• Reverse engineer, decompile, or disassemble any part of the App
• Use the App for any commercial purpose not expressly authorized by us

4. Health Disclaimer — Not Medical Advice

Always consult a qualified healthcare professional before starting any new exercise program, making significant changes to your diet, or if you have any medical condition or health concern. Do not disregard professional medical advice or delay seeking it because of something you have read or seen in the App.

Wearable data (HRV, sleep, heart rate) displayed in the App is sourced from third-party devices and platforms and may not be clinically accurate. SEMI makes no representations regarding the accuracy or reliability of data provided by connected devices.

5. Subscription and Payments

Certain features of the App may require a paid subscription ("Premium"). Subscription terms, pricing, and billing cycles will be presented to you at the time of purchase and are subject to change with notice.

Free tier: The App offers a free tier with access to core features. Premium features are accessible only to active subscribers.

Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually as selected). Charges will be made to the payment method provided through the applicable app store (Apple App Store or Google Play).

Cancellation: You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods except where required by applicable law.

Price changes: We reserve the right to change subscription pricing. We will provide advance notice of any price changes, and your continued use of Premium features after the effective date constitutes acceptance of the new pricing.

6. Intellectual Property

The App, including its design, code, content, trademarks, logos, and all other materials ("SEMI Content"), is owned by or licensed to SEMI and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the App or SEMI Content without our prior written permission.

Any content you submit to the App (workout logs, food entries, feedback) remains yours. By submitting it, you grant us a limited license to use, store, and process it solely to provide and improve the App's services.

7. Third-Party Services

The App integrates with third-party services including Google Fit, Fitbit, Garmin Connect, Oura, and ROOK Health. Your use of these integrations is subject to each platform's own terms of service and privacy policies. SEMI is not responsible for the practices, content, or availability of any third-party service.

Connecting a third-party platform is entirely optional. You may disconnect any integration at any time from within the App.

8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the App.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEMI AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOST PROFITS, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless SEMI, its operators, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

11. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by updating the "Last Updated" date above and, where appropriate, via in-app notification or email. Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, as applicable.
